Registering a company in Georgia: process and timelines

Registering a business in Georgia is one of the fastest procedures in the region. With the paperwork ready a company is opened in one working day, and a foreigner does not need a residence permit to do it.

Which form to choose

In the overwhelming majority of cases the choice is an LLC: it protects personal assets, allows partners to be brought in, and operates under the Estonian model of profit tax.

Documents

• founder's passport, translated for a foreign national;
• the company charter;
• a legal address in Georgia and the owner's consent;
• the decision appointing a director;
• a power of attorney if you are not filing in person.

The procedure

Public Service Hall

Filing takes place at the Public Service Hall, which also checks that the company name is unique and accepts the document package. The standard procedure takes one working day; the expedited route is faster and costs more.

Tax number and registration

The company receives its identification number together with registration. After that the RS.ge account has to be activated — all reporting goes through it.

Bank account

The account is opened separately and only after registration. This is the least predictable stage: the bank runs its own review, and for companies with foreign founders it takes longer.

What to do immediately after

• choose a tax regime and apply for the status if one is needed;
• check whether turnover is approaching the VAT registration threshold;
• set up bookkeeping and the storage of source documents;
• formalise employment if you are taking on staff.

Common mistakes

• a boilerplate charter that does not reflect the real management structure;
• a nominal legal address, so letters from state bodies never arrive;
• the tax regime chosen before the calculation rather than after it;
• registration completed but the RS.ge account never activated.
